WHOLESALE SUPPLY AGREEMENT

This Wholesale Supply Agreement (“Agreement”) is entered into between:

Supplier:
VELHAYA FZE LLC
United Arab Emirates
Operating Brand: Quality Abaya

AND

Buyer:
The registered business entity placing a wholesale order (“Buyer”).

By placing a wholesale order with Quality Abaya, the Buyer agrees to the following terms and conditions.

1. Nature of Business

VELHAYA FZE LLC is a Dubai-based wholesale abaya manufacturer specializing in:

  • Bulk abaya production

  • Custom design manufacturing

  • Private label / brand label services

  • International export and distribution

This Agreement applies strictly to wholesale transactions.

2. Products & Specifications

2.1 Products supplied may include standard wholesale designs or custom-made designs.

2.2 Product specifications including:

  • Fabric type

  • Color

  • Embellishments

  • Size range

  • Labeling requirements

must be confirmed in writing before production begins.

2.3 Any changes requested after production has started may not be accepted.

3. Minimum Order Quantity (MOQ)

Minimum order quantity may vary depending on:

  • Design type

  • Fabric selection

  • Customization requirements

  • Destination country

Special DPD shipping option requires minimum 40 abayas (subject to country availability).

4. Pricing & Payment Terms

4.1 Prices are wholesale factory prices and may vary based on order volume and customization.

4.2 Production will begin only after agreed payment terms are fulfilled.

4.3 All international transfer fees, currency conversion charges, and banking fees are the responsibility of the Buyer.

4.4 Deposits are non-refundable once production begins.

5. Production Timeline

Estimated production time: 10–20 business days
(Depending on quantity and customization)

Production timelines are estimates and may vary due to:

  • Fabric availability

  • Public holidays

  • Force majeure events

  • High seasonal demand

6. Shipping & Delivery

Supplier ships internationally via:

  • DPD

  • FedEx

  • Aramex

  • DHL

  • UPS

6.1 Transit time: Estimated 5–10 business days.

6.2 DPD/GDPD services from Dubai are available only in selected countries.

6.3 If alternative courier services are used, customs duties, VAT, import taxes, or clearance charges (if applicable) are the responsibility of the Buyer.

6.4 Supplier is not responsible for delays caused by customs or courier companies.

7. Custom & Private Label Orders

7.1 Custom designs and private label orders are:

  • Non-cancellable once production begins

  • Non-returnable

  • Non-refundable

7.2 Buyer is responsible for approving:

  • Logo placement

  • Brand labels

  • Hang tags

  • Packaging design

Supplier is not liable for approved design errors.

8. Quality & Inspection

8.1 All products undergo internal quality inspection before shipment.

8.2 Minor variations in:

  • Color tone

  • Hand embroidery

  • Measurement (±1–2 cm)

are not considered defects.

8.3 Claims for manufacturing defects must be submitted within 48 hours of delivery with photo/video evidence.

9. Intellectual Property

9.1 All original designs created by VELHAYA FZE LLC remain the intellectual property of the Supplier unless otherwise agreed.

9.2 Buyer warrants that any custom logos or artwork provided do not infringe third-party intellectual property rights.

9.3 Supplier shall not be liable for IP violations caused by Buyer-submitted materials.

10. Limitation of Liability

Supplier shall not be liable for:

  • Indirect or consequential damages

  • Loss of profit or business interruption

  • Customs penalties

  • Courier delays

Total liability shall not exceed the total amount paid for the order.

11. Force Majeure

Supplier shall not be responsible for delays or failure caused by events beyond reasonable control, including:

  • Natural disasters

  • Government restrictions

  • War or political instability

  • Pandemic-related disruptions

  • Transportation failures

12. Termination

This Agreement may be terminated if:

  • Buyer fails to complete payment

  • Buyer breaches contractual obligations

Termination does not entitle Buyer to a refund for production already completed.

13. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the United Arab Emirates.

Any disputes shall be subject to UAE courts.

14. Entire Agreement

This document constitutes the entire agreement between Supplier and Buyer concerning wholesale supply and supersedes any prior communications.

By placing an order, the Buyer acknowledges acceptance of this Wholesale Supply Agreement.
